M.C. Escher
Print-on-Demand Shop
GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale (the “Terms”) govern purchases of prints and related products offered through the dedicated M.C. Escher print-on-demand online shop accessible from the M.C. Escher website (the “Shop”, “Website”), at the dedicated platform: www.printondemad.mcescher.com.
Please read these Terms carefully before placing an order. By submitting an order through the Shop, you confirm that you have read and accepted these Terms. Where you act as a Consumer, nothing in these Terms limits or excludes rights that cannot lawfully be limited or excluded.

1. Seller and customer service
1.1 The seller and merchant of record for every purchase made through the Shop is Artefatto S.a.s. di Tresso Pierfranco & C., Strada del Drosso 58, 10135 Turin (TO), Italy, VAT No. IT06991640019, Italian Companies’ Register No. TO 827681, PEC: artefatto@pecitcert.it (the “Seller”, “Artefatto”, “we”, “us” or “our”).
1.2 For questions concerning an Order, delivery, withdrawal, statutory rights or complaints, the Customer may contact Artefatto at support@shop.mcescher.com or +39 011 60 66 587.
1.3 The Seller may engage third-party service providers for production, fulfilment, delivery, logistics, returns handling and customer-support activities. Any such provider acts as the Seller’s supplier or service provider, does not sell the Products and does not become a party to the Contract.

2. Definitions and scope
2.1 “Business Customer” means any natural or legal person acting for purposes relating to its trade, business, craft or profession.
2.2 “Consumer” means any natural person acting for purposes outside that person’s trade, business, craft or profession.
2.3 “Customer” means a Consumer or a Business Customer who purchases or seeks to purchase Products through the Shop.
2.4 “Order” means the Customer’s purchase proposal submitted through the Shop.
2.5 “Products” means the M.C. Escher print-on-demand reproductions and related physical products offered in the Shop, in the versions, materials, dimensions and finishing options shown in the applicable product page and checkout.
2.6 “Contract” means the sales contract concluded between the Seller and the Customer in accordance with Clause 5.
2.7 These Terms apply to both Consumer and Business Customer purchases. Clauses expressly referring to Consumers supplement the other provisions. Clauses expressly referring to Business Customers apply only to Business Customers.

3. International sales, mandatory rights and availability
3.1 The Shop may make Products available to Customers in multiple countries. Delivery destinations available for a particular Order are those displayed at checkout. The Seller does not represent that every Product or delivery option is available in every territory.
3.2 Mandatory consumer protection rules, product rules, tax rules, customs rules, import restrictions, sanctions, export-control rules or other requirements applicable in the Customer’s country of habitual residence and/or delivery destination may apply. To the extent that mandatory law grants the Consumer greater protection than these Terms, that mandatory law prevails.
3.3 The Seller may refuse, suspend, cancel or limit an Order where reasonably necessary to comply with applicable law, licensing restrictions, sanctions, export-control obligations, carrier restrictions, suspected fraud or other legitimate operational constraints. If an Order is cancelled before dispatch, the Seller will refund any amount paid for the cancelled Product(s) without undue delay.
3.4 The Shop is intended for persons with legal capacity to enter into binding contracts. By placing an Order, the Customer confirms that it has the necessary legal capacity and that all information provided is accurate and complete.

4. Products, print-on-demand production and product information
4.1 Products are produced on demand after the Seller accepts the relevant Order. The Product catalogue consists of predefined artwork and product options displayed in the Shop. The Customer selects only the available options shown for the relevant Product, such as medium, dimensions, finishing and framing, where offered.
4.2 The essential characteristics of each Product are set out on the relevant product page and in the checkout summary. The product page identifies, where applicable, the artwork, material, dimensions, available finishing options, frame and other relevant characteristics.
4.3 Images, previews, room settings, colours and dimensions are provided for illustration. Minor variations may occur because of screen calibration, lighting, printing batches, material characteristics, hand-finishing, packaging or reasonable manufacturing tolerances. Such minor variations do not constitute a lack of conformity where the Product otherwise corresponds to the contractual description and mandatory law.
4.4 The Customer must review the Order summary carefully before submission, including the artwork, material, dimensions, frame/finishing options, delivery address and billing information. The Customer may correct input errors through the checkout interface before submitting the Order.

5. Orders and conclusion of the Contract
5.1 To place an Order, the Customer selects the Products, proceeds to checkout, enters the requested delivery and billing information, selects an available payment method, checks the order summary, accepts these Terms and submits the Order using the button that clearly indicates that the Order entails an obligation to pay.
5.2 Submission of an Order constitutes a contractual proposal by the Customer. The automated acknowledgement of receipt of an Order does not constitute acceptance by the Seller unless it expressly states that the Order has been accepted. The Contract is concluded when the Seller sends the Customer an order acceptance or shipment confirmation by e-mail, whichever occurs first.
5.3 The Seller may decline an Order for legitimate reasons, including Product unavailability, payment authorisation failure, suspected fraudulent activity, incorrect or unverifiable Order information, licensing restrictions, delivery restrictions or manifest pricing/product-information errors. Where appropriate, the Seller will notify the Customer and refund sums received for the declined Order or affected part.

5.4 Following conclusion of the Contract, the Seller will send the Customer a confirmation on a durable medium, normally by e-mail. The confirmation will include the Order details and a copy of these Terms. Where applicable, it will also include the withdrawal information, the model withdrawal form and information concerning the legal guarantee of conformity.
5.5 Where the Shop makes customer accounts available, the Customer is responsible for maintaining the confidentiality of account credentials, for activities carried out through the account and for promptly informing the Seller of any suspected unauthorised use.
5.6 The technical steps for placing an Order are described in Clause 5.1 and shown during checkout. The Customer may identify and correct input errors before submitting the Order as described in Clause 4.4. The Contract is concluded in English. The Seller retains electronic records of completed Orders in accordance with applicable law, and the Customer may request a copy of the Order confirmation and of the Terms applicable to the Order from Customer Service. Unless expressly stated otherwise, the Seller does not subscribe to a specific code of conduct governing Contracts concluded through the Shop.

6. Prices, taxes, duties and payment
6.1 The prices, currency, applicable taxes, delivery charges and any other compulsory charges payable for the selected Products and destination are displayed before the Customer submits the Order. The checkout total is the amount payable to the Seller for the Order, subject only to any charges clearly disclosed as payable to an authority or carrier on import.
6.2 For Consumer Orders, prices are displayed inclusive of applicable taxes where required by law. For Business Customer Orders, the Shop or checkout will indicate whether prices are inclusive or exclusive of VAT or comparable sales taxes. Business Customers must provide accurate invoicing, tax and VAT identification information where requested.
6.3 For deliveries outside the European Union, customs duties, import VAT, brokerage, clearance charges and other local taxes may arise. Before payment, the checkout will state whether the shipment is offered on a delivered-duty-paid basis (“DDP”, where import charges are included or handled by the Seller/its logistics provider) or on a delivered-at-place basis (“DAP”, where import charges may be collected from the Customer by the authorities or carrier). Unless the checkout expressly confirms DDP or that duties and taxes are included, import charges are the Customer’s responsibility.
6.4 The Customer must cooperate with reasonable customs, import and carrier formalities and provide accurate information required for delivery. A refusal to pay import charges disclosed as potentially payable or a failure to provide information necessary for customs clearance may result in delay, return or non-delivery. Clause 10.7 applies in those circumstances.
6.5 Payment is due at the time the Order is submitted, using the methods shown at checkout for the relevant destination. Payment processing may be provided by independent regulated payment service providers. The Seller may take reasonable security and anti-fraud measures before accepting or dispatching an Order.
6.6 If a manifest pricing or product-information error occurs, the Seller may cancel the affected Order before dispatch and refund any amount paid. A manifest error includes a price that is clearly inconsistent with the nature or value of the Product because of a typographical, technical or system error.
7. Production, delivery and transfer of risk
7.1 Products are produced on demand. Production and delivery estimates shown on the product page, at checkout or in the Order confirmation are estimates unless the Seller expressly agrees a binding delivery date. The Seller will use reasonable efforts to meet the estimate.
7.2 The Seller delivers to the address entered by the Customer and accepted at checkout. The Customer is responsible for ensuring that the delivery address, contact information and any access instructions are accurate.
7.3 Deliveries are made by independent carriers selected by or on behalf of the Seller. The Customer may receive tracking information after dispatch. International transit may be affected by customs procedures, security controls, carrier capacity, public authorities, weather, labour disruption or other events outside the Seller’s reasonable control.

7.4 For Consumers, the risk of loss of or damage to the Products passes only when the Consumer, or a third party designated by the Consumer other than the carrier, acquires physical possession of the Products. This provision does not limit any mandatory consumer right.
7.5 For Business Customers, risk passes on handover of the Products to the first carrier for shipment, unless otherwise agreed in writing or mandatory law provides otherwise. Title to Products remains with the Seller until the Seller has received payment in full.
7.6 For Consumer Orders, without prejudice to more favourable mandatory law, the Seller will deliver without undue delay and in any event within thirty (30) days after conclusion of the Contract unless a different delivery period has been expressly agreed. If the Seller fails to deliver within the agreed period or, where no period has been agreed, within thirty (30) days, the Consumer may request delivery within an additional period appropriate to the circumstances. If the Seller fails to deliver within that additional period, the Consumer may terminate the Contract. No additional period is required where the Seller has refused to deliver or where delivery by a specified date was essential in the circumstances or was expressly made essential by the Consumer before conclusion of the Contract. Following termination, the Seller will reimburse all sums paid without undue delay and in any event no later than fourteen (14) days after termination.
7.7 If delivery fails because the Customer supplied an inaccurate address, refused delivery, failed to collect the parcel or, where DAP terms were clearly disclosed, refused to pay import charges, the Seller may recover or deduct the actual reasonable costs incurred for return shipment, handling and any import charges charged back to the Seller, to the extent permitted by applicable law and without limiting mandatory Consumer rights.

8. Delivery damage, loss and carrier claims
8.1 The Customer should inspect the parcel and Products promptly on delivery. Where a parcel or Product appears damaged, the Customer should report the issue to the Seller as soon as reasonably practicable. The Customer is requested, where reasonably available, to retain the outer packaging and provide photographs of the damaged Product, packaging and shipping label. These requests facilitate the carrier claim process and do not limit the Customer’s statutory rights.
8.2 A delivery-damage report may be submitted to support@shop.mcescher.com with the Order number, a short description of the issue and supporting evidence. The Seller may request additional information, arrange collection where needed, and organise repair or replacement.
8.3 Once a delivery-damage claim is received, the Seller will generally: (a) register the complaint; (b) review the evidence; (c) arrange a suitable remedy, normally a replacement where appropriate; and (d) pursue any recourse against the relevant broker or carrier.
8.4 Where a replacement is sent outside the European Union, the Seller will use appropriate replacement or repair documentation and, where available and appropriate, DDP delivery in order to avoid avoidable double duties or taxes. All customs documentation and declared values will be prepared in accordance with applicable customs law; no arbitrary or inaccurate customs value will be declared.
8.5 Nothing in this Clause affects the legal guarantee of conformity or any other mandatory remedy available to a Consumer under applicable law.

9. Order cancellation before dispatch
9.1 Because Products are produced on demand, the Customer should request cancellation as soon as possible by contacting Customer Service and quoting the Order number. The Seller will attempt to cancel an Order that has not entered production or dispatch.
9.2 A cancellation request made before dispatch is not a substitute for the Consumer’s statutory withdrawal right. The Customer’s statutory right of withdrawal, where applicable, is governed by Clause 12.
9.3 For Business Customers, an Order accepted by the Seller may be cancelled only with the Seller’s written consent. If the Product has entered production or been dispatched, the Seller may charge the Business Customer the price and the reasonably incurred production, shipment and return costs, to the extent permitted by applicable law.

10. Legal guarantee of conformity and defective Products
10.1 The Seller is responsible for ensuring that Products conform to the Contract in accordance with the mandatory rules applicable to the Customer. The legal guarantee applies independently of any commercial warranty that may be offered for a particular Product.
10.2 For Consumers habitually resident in the European Union, the Seller is liable for a lack of conformity that becomes apparent within the statutory period, which is generally two (2) years from delivery under the harmonised EU rules, subject to the law of the Consumer’s country of habitual residence. The applicable law determines the relevant time limits, presumptions and remedies.
10.3 If a Consumer believes that a Product is damaged, defective, incorrect or otherwise non-conforming, the Consumer should contact Customer Service with the Order reference, a description of the issue and, where reasonably available, supporting evidence. The Seller will provide instructions and manage the claim in accordance with applicable law.
10.4 Where a lack of conformity is confirmed, the Consumer is entitled to the remedies provided by mandatory law. Depending on the circumstances, these may include repair or replacement free of charge, a proportionate price reduction or termination of the Contract. Any shipment or return required to assess or remedy a confirmed lack of conformity will be arranged without cost to the Consumer where required by law.
10.5 If, after a reasonable assessment, the Product is found not to be defective or non-conforming, the Seller may reject the claim and, where permitted by law, request reimbursement of reasonable direct return costs that were expressly agreed before the return was arranged.
10.6 For Business Customers, and unless otherwise agreed in writing, the Business Customer must inspect the Products promptly and notify the Seller in writing of any defect within the time limits provided by applicable law.
10.7 Any commercial warranty offered for a specific Product is additional to, and does not replace or reduce, the Consumer’s statutory legal guarantee. Its scope, duration and conditions will be stated on the product page or in documentation supplied with the Product.

11. Returns other than withdrawal or lack of conformity
11.1 The Seller does not accept returns that fall outside the statutory or contractual rights set out in these Terms unless the Seller has expressly authorised the return in writing.
11.2 For logistics purposes, the Seller may issue return instructions or a return reference number. Such procedures help ensure correct receipt and handling but do not constitute a condition for the valid exercise of a Consumer’s withdrawal right.
11.3 Authorised returns must be sent in accordance with the return instructions provided by the Seller. The Customer should package Products securely and use a tracked service where appropriate.

12. Consumer right of withdrawal and online withdrawal function
12.1 This Clause applies to Consumers. Consumers habitually resident in the European Union, European Economic Area or United Kingdom have the statutory withdrawal rights provided by the mandatory law applicable to them. The Seller additionally offers the same fourteen (14)-day withdrawal procedure described in this Clause to Consumers in other eligible destinations, without prejudice to more favourable mandatory local law. The Seller may identify unavailable destinations before checkout.
12.2. Unless a lawful exception is clearly disclosed before the Contract is concluded, the Consumer may withdraw from the Contract without giving any reason within fourteen (14) days. The period starts on the day on which the Consumer, or a third party named by the Consumer other than the carrier, acquires physical possession of the Product. If Products are delivered separately, the period starts on the day possession of the last Product is acquired.
12.3 For Orders concluded through the Shop, the Consumer may withdraw by using the online withdrawal function. The function is made available through the Shop’s online interface, including the “Returns & Withdrawals” page accessible from the Shop footer and the Order confirmation, and enables the Consumer to provide or confirm: (a) the Consumer’s name; (b) information identifying the Contract or Order; and (c) the electronic means by which the Consumer will receive the withdrawal confirmation.
The withdrawal function is displayed in a clearly visible and easily accessible position on the Shop’s online interface and remains continuously available throughout the withdrawal period. The existence and location of the withdrawal function are indicated to the Consumer before the Contract is concluded, including in these Terms and in the pre-contractual information provided in the Shop.
12.4 To complete the declaration, the Consumer fills in the requested information and then activates a distinct confirmation function, labelled “confirm withdrawal” (or an equivalent unequivocal wording); the withdrawal declaration is transmitted to the Seller only upon activation of that confirmation function.
Once the Consumer has submitted the declaration, the Seller will send an acknowledgement of receipt without undue delay on a durable medium, normally by e-mail, including the content of the declaration and the date and time it was sent. Withdrawal is exercised in time where the declaration is sent before the withdrawal period expires.
12.5 The Consumer may alternatively withdraw by sending the Seller an unequivocal statement by e-mail to support@shop.mcescher.com.
12.6 The Consumer must send back the Products without undue delay and, in any event, no later than fourteen (14) days from the day on which the Consumer communicates withdrawal. The deadline is met where the Consumer sends the Products before the fourteen-day period has expired. Unless the Seller provides different written return instructions, Products returned following withdrawal must be sent to Artefatto S.a.s. di Tresso Pierfranco & C., Strada del Drosso 58, 10135, Torino (Italy). Unless the Seller agrees otherwise, the Consumer bears the direct cost of returning the Products. For deliveries outside the European Union, the Consumer also bears return shipping, customs, duties, taxes and clearance charges unless mandatory law requires otherwise.
12.7 The Consumer may inspect and handle Products only to the extent necessary to establish their nature, characteristics and functioning. The Consumer is liable for any diminution in value resulting from handling beyond that extent, to the extent permitted by applicable law.
12.8 Following valid withdrawal, the Seller will reimburse all payments received from the Consumer, including the cost of the least expensive standard delivery method offered for the Order, without undue delay and no later than fourteen (14) days after being informed of the withdrawal. The Seller will use the same payment method used for the initial transaction unless the Consumer expressly agrees otherwise. The Seller may withhold the refund until it has received the returned Products or the Consumer has supplied evidence of having sent them back, whichever occurs first.
12.9 No withdrawal right applies where the Product falls within a statutory exception, including where it is genuinely made to the Consumer’s specifications or clearly personalised. The Seller will rely on an exception only where it is applicable under mandatory law and has been clearly disclosed to the Consumer before the Order is submitted.

13. Intellectual property and permitted use
13.1 All intellectual property rights in the Shop, the M.C. Escher name and associated marks, the artworks, images, designs, text, photographs and other content are owned by, or licensed to, the relevant rights holders and licensors. These rights are protected by applicable intellectual property laws and treaties.
13.2 The purchase of a Product transfers ownership only of the physical Product purchased. It does not grant any licence or right to reproduce, digitise, scan, distribute, publish, communicate to the public, adapt, modify, manufacture, market, sublicense or otherwise exploit the artwork, Product images, M.C. Escher marks or other protected content, except to the extent expressly permitted by mandatory law.
13.3 A Business Customer may not hold itself out as an authorised M.C. Escher reseller or use M.C. Escher artwork, marks or Product imagery in advertising, catalogues, online marketplaces or promotional materials without the prior written authorisation of the relevant rights holder or licensor.
13.4 The Customer must not remove, obscure or alter copyright notices, trade marks, authenticity information or other proprietary notices on or accompanying the Product.

14. Personal data and electronic communications
14.1 The Seller processes personal data in accordance with the privacy notice made available in the Shop. The privacy notice explains the purposes, legal bases, categories of recipients, retention periods and rights applicable to the processing of personal data.

15. Liability and force majeure
15.1 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence where such liability cannot be excluded, and mandatory Consumer rights.
15.2 Subject to Clause 15.1 and to the maximum extent permitted by applicable law, the Seller is not liable for indirect, incidental, special or consequential losses, including loss of profit, revenue, business opportunity, goodwill or data. This limitation does not apply where mandatory law provides otherwise.
15.3 The Seller is not liable for a delay or failure to perform caused by circumstances beyond its reasonable control, including carrier disruption, customs delays, public authority measures, natural events, strikes, interruptions of communications systems, cyber incidents not caused by the Seller’s failure to take reasonable measures, or failures of third-party suppliers. The Seller will take reasonable steps to mitigate the effects and resume performance when reasonably possible. This does not affect mandatory Consumer remedies for excessive delay or non-delivery.

16. Additional provisions for Business Customers
16.1 Business Customers confirm that they are purchasing for professional purposes and are not Consumers. Consumer-protection provisions, including statutory consumer withdrawal rights and the consumer legal guarantee, do not apply to Business Customer Orders except to the extent mandatory law provides otherwise.
16.2 Business Customers are responsible for ensuring that their intended use, importation, resale, advertising and distribution of the Products comply with applicable law, including intellectual property, consumer, product, tax, customs, sanctions and export-control rules.
16.3 The Seller’s liability to a Business Customer, subject to Clause 15.1 and to the maximum extent permitted by law, is limited to direct damage up to the amount paid by the Business Customer for the specific Order giving rise to the claim. This limitation does not apply to damage caused by the Seller’s fraud, wilful misconduct or liability that cannot lawfully be limited.
16.4 The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded from Contracts with Business Customers.

17. Complaints and alternative dispute resolution
17.1 Customers should submit complaints through the contact details in Clause 1. The Seller will examine complaints and endeavour to resolve them amicably within a reasonable period.
17.2 Where applicable, Consumers may have access to out-of-court alternative dispute resolution (“ADR”) mechanisms in their country of residence. EU Consumers may obtain information about available ADR entities through the European Commission’s consumer redress and ADR information pages for their country. The Seller is not obliged to use a particular ADR body unless applicable law requires it.

18. Governing law and jurisdiction
18.1 These Terms and each Contract are governed by the laws of Italy, excluding its conflict-of-law rules. This choice does not deprive a Consumer of the protection afforded by mandatory provisions of the law of the country in which the Consumer has habitual residence, where those provisions apply.
18.2 For Consumers, the competent court is determined by mandatory law. Nothing in these Terms prevents a Consumer from bringing a claim before a court that is competent under the mandatory rules applicable to the Consumer.
18.3 For Business Customers, the courts of Turin, Italy have exclusive jurisdiction over any dispute arising from or connected with these Terms or a Contract, without prejudice to mandatory rules that cannot be derogated from.

19. Final provisions
19.1 The version of these Terms published and accepted at the time the Customer submits the Order applies to that Order. The Seller may update these Terms for future Orders at any time.
19.2 If any provision of these Terms is held invalid, unlawful or unenforceable, that provision will be severed or adjusted to the minimum extent necessary, and the remaining provisions will remain effective.
19.3 A failure or delay to enforce a provision does not constitute a waiver of that provision or of any other right.
19.4 The Contract is concluded in English. Any translation is supplied for convenience only. Where mandatory law requires otherwise, the Consumer may rely on the required local-language version or mandatory consumer protection rules.
19.5 No person other than the Seller and the Customer has any right to enforce these Terms, except where mandatory law provides otherwise.
